Subject to your compliance with the Creator Terms and Rembrand Platform Terms and Conditions, if You upload and share Generated Videos on a Permitted Platform, You will be paid a Monetization Fee by Rembrand in accordance with the terms and conditions outlined below. For clarity, Rembrand reserves the right to not pay the Monetization Fee if you breach any material terms or conditions of the Creator Terms or Rembrand Platform Terms, and fail to cure such breach within 5 business days from receipt of written notice thereof. Whatever Monetization Policy is in place at the date on which a Generated Video is published to a Permitted Platform will govern the monetization terms for that video.
1. DEFINITIONS:
1.a. “Beta Platforms” means any application or platform which Rembrand is testing, and may be subject to non-standard reporting, manual reporting requirements and screenshots of Beta Platform’s dashboards and reports, non-standard SLA, lack of full automation, non-standard monetization terms, or other non-productized restrictions. Beta Platforms may be subject to restrictions including, but not limited to view-count caps, limitations on the Campaign Reporting Lookback Periods, or other modifications which may be imposed by Rembrand at its sole discretion.
Rembrand may, at its sole discretion, and from time to time, make changes to which platforms are identified as a Beta Platform.
1.b. “Campaign Flight Dates” means the start date and the end date, during which all Generated Videos must be published on the appropriate Permitted Platform and visible to the public. Any Generated Video that is published and starts receiving views prior to the initial stated start date of a campaign will not have those views counted. Additionally, any Generated Video that is published after the stated end date of a campaign will not have any of its views counted.
1.c . “CPM Rate” is the rate that will be utilized by Rembrand to calculate the Monetization Fees earned per each thousand views of a Generated Video. The CPM Rate will vary depending on the Permitted Platform the Generated Vi deo is published to and by the Generated Video or campaign, as determined by Rembrand, which will be communicated in writing either via email or via the Rembrand Platform.
1.d. “Creator Monetization Period” means 30 days from the date when a video is published on a Permitted Platform, unless otherwise agreed upon by the Creator and Rembrand in writing, via email, or within the Rembrand Platform.
1.e. “Generated Video” means the video generated by the Rembrand Platform by incorporating a digital derivative, enhancement, and modification of a 2D picture of a Brand product or a logo or 3D model into a Creator’s content, material, or media.
1.f. “General Availability Platforms” means platforms which Rembrand has identified as being productized and having automation supported within the Rembrand Platform.
1.g. “Inorganic Views” means any traffic or views generated as a result of paying for users, platforms, or services that increase views of a Generated Video, or otherwise boost the views or reach of a video.
1.h. “Permitted Platforms” includes General Availability Platforms and Beta Platforms.
1.i. “Rembrand Platform” is any technology, service, or material that is produced or delivered as a result of interacting with Rembrand through an internet-connected device, including, but not limited to https://app.rembrand.com.
1.j. "Third-Party Agent" means an entity or person (such as but not limited to a talent agency or management company) that is retained by you to accept and process the Monetization Fees paid in connection with an Opportunity on your behalf.
Any other capitalized term used but not defined herein will have the meaning ascribed to it in the Platform Terms and Conditions, and if not defined therein, then the Creator Terms.
2. MONETIZATION FEE REQUIREMENTS:
2.a. Subject to a View Cap (as defined below), Rembrand shall pay You, or your designated Third-Party Agent, a monetization fee (the “Monetization Fee”) in an amount equal to multiplying (1) the CPM Rate, by (2) each one thousand (1,000) views of the Generated Videos on a Permitted Platform that are generated within the Creator Monetization Period; provided that the Generated Video was published within the Campaign Flight Dates. The Generated Video will be posted to the Permitted Platform on a mutually approved date and time, based on the Campaign Flight Dates. Furthermore, Generated Videos may be subject to payment caps, or other restrictions, as will be communicated in advance and in writing to the Creator.
Example of How the Monetization Fee is Calculated:
- CPM Rate for Opportunity = $10.00
- If the Generated Video produces 10,000 views to the Permitted Platform, the Monetization Fee shall be $100.
- If a view cap is set to $150, then you will be paid the full $100. If the view cap is set to $99, you will be paid $99.
Notwithstanding anything to the contrary, the view count of each Generated Video for purposes of determining the Monetization Fee may be subject to a maximum view cap (the “View Cap”). The View Cap for a Generated Video will be communicated by Rembrand to You in the Rembrand Platform or via email, provided that the View Cap stated in the Rembrand Platform shall supersede any conflicting View Cap expressed to You in email.
2.b. For each Generated Video uploaded to a Permitted Platform, you must notify Rembrand of the URL of the uploaded video via the Platform, and for any Permitted Platform where Rembrand has automated reporting capabilities, you must use these automated capabilities, including linking the Permitted Platform to the Rembrand Platform through OAuth (read-only), or other means, in order to permit Rembrand to retrieve view count reporting (subject to Rembrand’s and your compliance with the Data Sharing terms). Manual reporting of views through screenshots or manual data exports are not auditable and subject to potential fraud or other manipulation, even if unintentional. View counts are calculated based on the number of views on the Permitted Platform during the Campaign Reporting Lookback Period for any given Generated Video that is published within the Campaign Flight Dates. Rembrand only stores data on Generated Videos where the video URL is provided to Rembrand.
2.c. Rembrand reserves the right to change the Monetization Fee and CPM Rate at its sole discretion. Any such changes will be given and shall be effective if provided in writing to you or via the Platform, or if included in any amendment, extension, or new version of this Monetization Policy. After such notice is given, you shall have the right to not publish the Generated Video if you decline to accept the change; otherwise, the change shall be considered approved and agreed upon. Notwithstanding the foregoing, the parties acknowledge and agree that if there is any conflict between the CPM Rate specified in the Platform and any other agreement, understanding, or communication between you and Rembrand regarding the applicable CPM Rate, the CPM Rate specified in the Platform shall supersede and control.
3. FEE PAYMENT TERMS:
Rembrand will pay the Monetization Fee within 60 days after receiving the final day of view count reporting, after the Campaign Reporting Lookback Period as further described in Section 2(b) above.
All payments from Rembrand will be made in U.S. dollars to accredited financial institutions. Rembrand will process payment of any Monetization Fees based on the payment instructions provided in the Platform. You acknowledge and agree that if you instruct Rembrand to remit payment of any Monetization Fees to a Third-Party Agent, Rembrand’s payment obligations of the Monetization Fees shall be solely to such Third-Party Agent and Rembrand shall assume no responsibility and/or liability for any agreement reached between the Creator and its Third-Party Agent related to the payment of any fees. Rembrand does not issue payments for Generated Videos which have Inorganic Views.
